Terms & Conditions
1. Introduction
These Terms & Conditions (“Terms”) govern all services, business relationships, and transactions provided by Zoiko Supply Group Inc.
(“Zoiko Supply Group,” “we,” “our,” or “us”). By using our services, customers, suppliers, and partners agree to be bound by these Terms in
full.
2. Scope of Services
Zoiko Supply Group provides international supply chain, trade distribution, and logistics solutions across the USA, UK, Canada, LATAM,
Asia-Pacific, and the Caribbean. All services are delivered in accordance with applicable customs, trade, taxation, and regulatory
requirements in each jurisdiction of operation.
3. Compliance Obligations
All parties must comply with relevant laws and international frameworks, including:
- USA — Federal and state trade laws, U.S. Customs & Border Protection rules, and Department of Commerce regulations.
- UK — UK trade and customs law, UK Bribery Act 2010, and Modern Slavery Act 2015.
- Canada — Canada Customs Act, CFPOA, and Income Tax Act.
- LATAM & Caribbean — Regional customs laws, anti-corruption legislation, and tax compliance rules.
- Asia-Pacific — National customs and trade compliance laws, supported by OECD and UN conventions.
Circumvention of laws, sanctions, or tax obligations will result in immediate termination of the business relationship and may be reported to authorities
4. Pricing & Payment
- Pricing will be confirmed in official contracts or written quotations.
- Payments must be made in full and on time, in cleared funds and in the agreed currency.
- Zoiko Supply Group reserves the right to suspend or terminate services in the event of late or incomplete payment.
5. Delivery & Risk Transfer
- Delivery obligations are defined by contract and follow Incoterms® where applicable.
- Risk and title to goods transfer upon completion of the delivery terms set out in each agreement.
6. Limitation of Liability
- Zoiko Supply Group shall not be liable for indirect, incidental, or consequential losses.
- Our liability is limited to the value of the goods or services under the relevant agreement, except in cases of fraud, gross negligence, or wilful misconduct.
7. Force Majeure
We shall not be held responsible for delays or failure to perform due to circumstances beyond our control, including natural disasters, pandemics, armed conflicts, government restrictions, or disruption of transportation routes.
8. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the State of Delaware, USA, unless expressly agreed otherwise in writing.
- Any disputes shall first be addressed through good-faith negotiation. If unresolved, disputes may be referred to binding arbitration under internationally recognised rules.
9. Amendments
Zoiko Supply Group reserves the right to update these Terms from time to time. The most recent version will always be available on our website and will supersede all prior versions.
